Terms and conditions

These terms govern the purchase and use of the ZUGFeRDig software.

1. Scope and contracting parties

These terms apply to all contracts for the supply of the ZUGFeRDig software between the provider and you as customer. We do not accept differing terms unless we have expressly agreed to them in writing.

2. Subject matter

The subject of the contract is the permanent supply of one copy of the ZUGFeRDig software for use on a Windows machine. The software produces electronic invoices in the ZUGFeRD 2.3 / Factur-X 1.07 format at the EN 16931 profile, as a PDF/A-3 with embedded CII XML.

The provider undertakes to supply the software with the characteristics described at the time the contract is concluded. The provider does not undertake that invoices produced with the software satisfy the tax or commercial-law requirements of your particular case; the substantive correctness of your invoices is your responsibility.

The software is not an approved platform for the purposes of the French electronic invoicing reform. It produces the file in the required format; transmitting that file through an approved platform is a separate service which the software does not provide.

3. Formation of contract

The presentation of the software on this website is not a binding offer. By submitting your order through the payment provider you make a binding offer. The contract is formed when we confirm the order or provide you with the licence key or download access.

4. Rights of use

On payment in full you receive a simple, perpetual, non-exclusive and non-transferable right to use the software to the agreed extent.

  • One licence entitles one workstation within your business to use the software.
  • You may make backup copies to the extent necessary to secure your data.
  • The software may not be sub-licensed, rented, sold or made available to third parties.
  • Reverse engineering, decompilation and disassembly are permitted only to the extent that applicable mandatory law allows.

5. Free use up to ten invoices per month

ZUGFeRDig may be used free of charge and without a time limit to finalise up to ten invoices per calendar month. The count resets at the start of each month. Once the limit is reached, no further invoices can be finalised in that month without a licence; data already entered remains accessible. Free use carries no entitlement to support, to availability, or to the supply of future versions. The provider may discontinue free supply of future versions on three months’ notice; versions already supplied may continue to be used.

6. Prices and payment

The price of one licence is €299.00 plus VAT. The amount of VAT depends on your country and status and is determined at checkout: consumers in the EU are charged the rate of their country of residence; businesses with a valid VAT registration number are charged no VAT under the reverse charge procedure.

Payment is made through the payment providers offered on the website. Supply follows receipt of payment. No separate delivery charges arise, as the software is supplied digitally only.

7. Right of withdrawal for consumers

Consumers have a statutory right of withdrawal. Businesses have no right of withdrawal.

Withdrawal instructions

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day the contract was concluded.

To exercise the right of withdrawal you must inform us of your decision by a clear statement (for example, by email to the address in the legal notice). To meet the deadline it is sufficient that you send your communication before the withdrawal period expires.

If you withdraw from this contract, we will reimburse all payments received from you without undue delay and no later than fourteen days from the day on which we receive notice of your withdrawal. We will use the same means of payment you used for the original transaction; you will not be charged any fees for this reimbursement.

Early expiry of the right of withdrawal

In a contract for the supply of digital content not delivered on a tangible medium, the right of withdrawal expires where we have begun performance after you expressly consented to us beginning performance before the withdrawal period expired and you acknowledged that you thereby lose your right of withdrawal. You are asked for that consent and acknowledgement when you download the software.

8. Trial use

You may try the software before buying. The provisions of these terms on free use apply accordingly to trial use; no warranty or support claims arise in that respect.

9. Conformity and remedies

The statutory rules on the conformity of digital content and digital services apply. Defects should be reported to us with a comprehensible description of the circumstances. We provide a remedy by correcting the defect or supplying a conforming version. Rights available to consumers under the mandatory law of their country of residence are unaffected.

10. Liability

We are liable without limitation for intent and gross negligence, for fraudulent concealment of a defect, and for death or personal injury caused by our negligence. Nothing in these terms limits or excludes any liability that cannot be limited or excluded under applicable mandatory law.

For slightly negligent breach of a material contractual obligation — an obligation whose performance makes proper performance of the contract possible in the first place and on whose observance you may regularly rely — liability is limited to the foreseeable loss typical of this type of contract. Liability is otherwise excluded.

We are liable for loss of data only to the extent that it could not have been avoided by proper and regular backups on your side. Since the software stores your data locally only, backup is your responsibility.

11. Updates

Licence holders receive updates to new versions of the ZUGFeRD or Factur-X format for as long as the provider maintains the software. There is no entitlement to the development of any particular new feature.

12. Not tax or legal advice

The software and the content of this website are not a substitute for tax or legal advice. Whether and from when you are obliged to issue electronic invoices, what your invoices must contain, and how long you must retain them are matters for your tax adviser.

13. Governing law and jurisdiction

These terms are governed by the law of England and Wales, excluding the UN Convention on Contracts for the International Sale of Goods.

If you are a consumer habitually resident in the European Union, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of your country of residence. You may also bring proceedings against us in the courts of your country of residence, and may only be sued by us there.

For contracts with businesses, the courts of England and Wales have exclusive jurisdiction.

If any provision of these terms is invalid, the validity of the remaining provisions is unaffected.
